1. Binding Agreement & Confidentiality

By accessing the KGF Terminal Data Room, requesting materials, or receiving any information from KGF Capital® (KGF®), you acknowledge that you are entering into a binding confidentiality agreement. All information disclosed is strictly confidential and proprietary.

2. Intellectual Property Protection

All intellectual property, including but not limited to:

• Proprietary algorithms and machine learning models
• Data structures and architecture
• Methodologies and analytical frameworks
• Reports, insights, and intelligence outputs
• Source code and technical implementations

are protected under:

• Swiss Copyright Law (Urheberrechtsgesetz — URG, Art. 67)
• Swiss Unfair Competition Act (Bundesgesetz gegen den unlauteren Wettbewerb — UWG, Art. 23)
• IGE Trademark Registration (KGF®)
• Bitcoin Blockchain IP Timestamp
• Berne Convention for the Protection of Literary and Artistic Works
• TRIPS Agreement (Trade-Related Aspects of Intellectual Property Rights)

3. Non-Compete & Non-Disclosure

You agree that:

• Non-Compete: You will not build, develop, or commercialize any competing product or service based on KGF methodology, insights, or data structures.
• Non-Disclosure: You will not share, distribute, or disclose any KGF materials, reports, screenshots, data, or methodologies with any third party without written consent.
• No Reverse Engineering: You will not attempt to reverse-engineer, decompose, or replicate KGF's proprietary systems or algorithms.
• No Scraping: You will not scrape, crawl, or extract data from KGF systems or websites.

4. Liquidated Damages & Breach Penalties

In the event of breach of these terms:

• Minimum Liquidated Damages: CHF 50,000 per violation
• Additional Damages: Actual damages, lost revenue, and remediation costs
• Injunctive Relief: KGF reserves the right to seek immediate injunctive relief without prior notice
• Legal Fees: Breaching party shall bear all legal and enforcement costs

5. Audit Rights & Compliance Monitoring

KGF reserves the right to:

• Monitor usage patterns and access logs
• Conduct audits of your systems and data handling practices
• Request certifications of compliance
• Terminate access immediately upon suspected breach

6. Data Room Access & Watermarking

All materials provided through the KGF Data Room are:

• Watermarked with your organization's identifier
• Tracked for unauthorized distribution
• Subject to access logs and audit trails
• Licensed for internal evaluation purposes only

Unauthorized distribution of Data Room materials will result in immediate legal action and prosecution to the fullest extent of Swiss and international law.

7. Litigation & Jurisdiction

These terms are governed by Swiss law. Any disputes shall be resolved exclusively in the courts of Zürich, Switzerland. KGF maintains active litigation counsel and will pursue all violations without exception.

8. Limitation of Liability

KGF provides information on an "as-is" basis. While we strive for accuracy, KGF does not warrant the accuracy, completeness, or timeliness of any information. Users assume all risk associated with use of KGF materials.

9. Termination

KGF reserves the right to terminate access to the Data Room or platform at any time, with or without cause. Upon termination, all materials must be returned or destroyed, and you must certify compliance in writing.

10. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms of Use, together with any NDA provided by KGF, constitute the entire agreement between you and KGF regarding access to materials and information.
